FROSTING: |

package cream cheese, softened |

butter, softened |

Preheat oven
to 300 degrees F. Grease and flour three 9"
round cake pans. |

Mix together
all dry ingredients and set aside. |

In large
bowl, beat eggs and add oil. Gradually add dry
ingredients to wet mixture. Add carrots and
nuts. |

Pour batter
into prepared pans. Bake 45 minutes, or until
toothpick inserted in center comes out clean.
Let cool completely before frosting. |

To prepare
frosting: Cream together cream cheese and
butter. Add sugar and beat well. Frost lightly
between layers and then ice sides and top. |
