Preheat oven
to 350 degrees F. |

Mix together
flour, butter and pecans. Press into 13x9"
baking dish and bake 15-20 minutes. |

In small
bowl, beat cream cheese with sugar until smooth.
Fold in half of the Cool Whip. |

Spread the
cream cheese mixture over the crust. Then spread
the vanilla pudding. Then spread the chocolate
pudding. Spread remaining cool whip on top. |

Sprinkle
with grated chocolate and serve.
